- We provide legal support in the area of creating investment funds and legal aspects of operations of investment fund societies as well as the funds managed by them; this relates in particular to closed investment funds, including non-public closed investment funds, which may serve for various economic purposes, such as restructuring of enterprises, creating special-purpose holding firms or effective management of family assets (with application of tax optimisation),
- We provide legal support in the are of functioning of open investment funds, special-purpose open investment funds and funds of special structure, such as funds with different categories of participation units, funds with divided subfunds, basic and connected funds, as well as financial market funds, portfolio funds and securitisation funds,
- We provide legal support in the area of functioning of foreign investment funds in the territory of Poland,
- We solve legal issues involved in functioning of investment funds as professionals operating in the market,
- We draft and review civil law agreements concluded by investment funds, with due regard to the specifics of their operations,
- We provide legal support relating to acquisitions of other entities (commercial partnerships and companies) by investment funds, in particular we solve legal issues involved in the necessary notifications such as notification of the intended concentration to the relevant authorities; we suggest optimal solutions and – if necessary – represent investment funds in antitrust proceedings,
- We provide day-to-day legal support relating to the investment funds holding in their assets packages of shares or share certificates allowing them to control companies, in particular we prepare and conduct shareholders’ meetings and general meetings,
- We provide legal support in the area of day-to-day operations of brokerage houses,
- We advise on issuing share certificates, convertible bonds, senior bonds, subscription warrants and other securities, including promissory notes; we advise on public offerings of securities, drafting prospecti, informational memoranda and other relevant documents,
- We advise on introducing securities in the regulated market or alternative market (maintained by the Warsaw Stock Exchange S.A.), including drafting prospecti, informational memoranda,
- We represent our Clients during proceedings before the Financial Supervision Commission and in relations with capital market institutions; we advise on matters relating to such proceedings and relations,
- We provide legal support for listed companies and advise on protection of confidential information and notification obligations,
- We advise on special rights and obligations of shareholders of listed companies,
- We prepare legal assessments concerning securities and other financial instruments, legal regulations of financial market, rules of conducting operations by participants of financial market and operations made therein,
- We prepare draft agreements concerning non-standard transactions concluded on the regulated market or outside this market, regarding securities traded on the regulated market,
- We provide legal support in the area of drafting and reviewing documents concerning day-to-day operations of brokerage houses and other investment firms, including template agreements and regulations concerning provision of services.
